Right to Terminate

Severance

1. The personal data,”PD” we collect

MyBMR collects personal information about individuals from the individual’s own input of data into our website, applications and/or software from information provided by any of our referring customers, third party resellers, users, ISOs, integrated POS systems, Independent Service Providers, vendors, merchants, merchant’s employees. When a user interacts with any of our website, applications and/or software products MyBMR will collect information about the interactions, the user, the employee that entered your information, the system used, the browser and device used to interact, the geographical location of the interaction, date and time, IP, information about the products sold and the third party provider. When applicable, MyBMR may also collect personal information entered such as the name of client, phone number, email, address, country of origin, marital status, gender social media information provided, point balance for rewards and loyalty programs, gift card balance, interests, date of birth, feedback, reviews, referrals, preferences, shopping trends, response to marketing, opt out requests, opt-in requests surveys, security questions and validations, government-issued identification numbers such as national identification number, a Social Security Number, tax identification number, driver’s license or other government identification such as passport number, state or local identification number.

If applicable, MyBMR will indicate whether and why individuals must provide us with personal data ,”PD” as well as the consequences of failing to do so.

Through the use of MyBMR’s websites, applications and/or software MyBMR will collect and allow merchants to collect information about their customers. Whereby, MyBMR will provide tools for merchants to market their products operate their business and offer promotional programs to customers.

Merchant may provide MyBMR with information about their business, ownership, business customers such as customer name, phone number, email, address, social media information and other personally identifiable information needed to utilize the specific application used. In addition, merchants may provide personally identifiable information about their employee or require their employees to use one of our applications. Whereby employees will enter their name, title, phone number, email, address, social media credentials, government issued ID and other personally identifiable information as needed.

The personal information that you provide directly or indirectly to MyBMR will be used in the following ways:

  • Business purposes and communication: To provide services or information you requested, to communicate with you for business or customer service reasons, or for other such reasons such as changes to our policies or in response to your inquiry
  • To facilitate payment for services or provide refunds
  • To comply with legal, regulatory, or fiscal obligations, or in connection with litigation or an internal investigation or audit

Data Retention:

Your personal information will be retained only for so long as reasonably necessary for the purposes set out above, considering criteria such as applicable rules on statute of limitations, legal requirements and the duration of your use of MyBMR’s websites, applications and/or software and receipt of our Services. Universell AI Terms & Use Policy

This AI Terms & Use Policy (“AI Policy”) governs your access to and use of artificial intelligence and machine-learning features made available by Universell (“Universell,” “we,” “us,” or “our”), including AI-powered tools, assistants, content-generation features, recommendations, automations, and other AI-enabled functionality made available through the Universell platform, website, applications, and related services (collectively, the “AI Services”).

By accessing or using any Universell AI Service, you acknowledge that you have read, understood, and agree to this AI Policy. If you do not agree with this AI Policy, you should not use the applicable AI Services.

This AI Policy supplements Universell’s Terms of Service, Privacy Policy, Acceptable Use Policy, and other applicable agreements and policies.

1. AI Services

Universell may provide AI-powered functionality to assist users with tasks such as:

  • Generating or drafting business content, descriptions, agreements, policies, communications, and other materials;
  • Assisting with business workflows and administrative tasks;
  • Summarizing, organizing, or analyzing information;
  • Providing recommendations, suggestions, or responses based on information provided by the user;
  • Automating certain business processes; and
  • Providing other AI-enabled functionality that Universell may introduce from time to time.

AI features may change, be enhanced, suspended, or discontinued at any time.

2. AI-Generated Content

AI Services may generate text, recommendations, analyses, suggestions, or other content based on information provided by you or available through the Universell platform.

AI-generated content may contain errors, omissions, inaccuracies, outdated information, or inappropriate conclusions. AI-generated content should therefore be treated as an assistance tool and not as a substitute for professional judgment.

You are solely responsible for reviewing, verifying, editing, and approving any AI-generated content before using, publishing, sending, signing, relying upon, or otherwise acting on that content.

For example, AI-generated contracts, terms and conditions, cancellation policies, service descriptions, marketing materials, business communications, or other legal or commercial documents should be reviewed by an appropriately qualified professional when appropriate.

Universell does not represent or warrant that AI-generated content is accurate, complete, current, suitable for a particular purpose, or legally enforceable.

3. No Professional Advice

Unless expressly stated otherwise, Universell’s AI Services do not provide legal, financial, tax, accounting, medical, employment, insurance, compliance, or other professional advice.

AI-generated information is provided for general informational and business-assistance purposes only.

You should consult an appropriately qualified professional before relying on AI-generated information when the matter involves legal rights, financial decisions, regulatory compliance, contractual obligations, or other matters requiring professional expertise.

4. User Responsibility

You are responsible for the information, instructions, documents, data, and other materials that you submit to or process through the AI Services (“User Inputs”).

You represent and warrant that you have the necessary rights, permissions, and lawful authority to provide User Inputs to Universell and to use them with the AI Services.

You are also responsible for reviewing AI-generated outputs before using them.

You agree not to use the AI Services as a substitute for your own business judgment, verification, or required professional review.

5. Accuracy and Reliability

Artificial intelligence systems are probabilistic technologies and may produce responses that are incorrect, incomplete, misleading, or inconsistent.

Universell does not guarantee:

  • The accuracy of AI-generated content;
  • The completeness of AI-generated content;
  • That AI-generated content will be free from errors;
  • That AI-generated content will be suitable for your particular business or circumstances;
  • That AI-generated content will satisfy applicable legal or regulatory requirements;
  • That the AI Services will produce the same result each time; or
  • That the AI Services will always be available or uninterrupted.

You should independently verify important information before relying upon it.

6. Data, Privacy, and AI Processing

Universell may use artificial intelligence and machine-learning technologies provided by third-party technology providers, including OpenAI and Anthropic, to provide, operate, maintain, or improve certain AI-powered features and services.

Depending on the specific AI feature being used, information submitted by a user may be transmitted to and processed by the applicable AI technology provider in order to generate a response or perform the requested function.

The information processed may include User Inputs, prompts, documents, text, instructions, or other information submitted by the user through an AI-enabled Universell service.

Universell seeks to implement appropriate contractual, technical, and administrative safeguards with its third-party AI providers. However, users should understand that no internet-based service or technology can be guaranteed to be completely secure.

Universell does not require users to submit sensitive information to an AI Service unless the applicable feature is specifically designed to process such information.

Users should exercise appropriate judgment before submitting confidential, highly sensitive, personal, financial, payment-card, authentication, or other restricted information to an AI Service.

Universell's collection, use, storage, and disclosure of personal information is governed by Universell's Privacy Policy and applicable agreements.

AI Provider Processing

Universell may use the following third-party AI technology providers:

  • OpenAI — AI models and related technology used to support certain Universell AI features.
  • Anthropic — AI models and related technology used to support certain Universell AI features.

The particular AI provider used may vary depending on the AI feature, functionality, model, technical requirements, availability, or other operational considerations.

Universell may change, add, or remove AI technology providers as its services evolve.

Information transmitted to a third-party AI provider may be subject to that provider's applicable terms, privacy practices, security measures, and contractual obligations with Universell.

Where applicable, Universell will use commercially reasonable measures to require third-party providers to process information in accordance with the purposes for which Universell has engaged them and applicable contractual requirements.

Universell does not represent that every AI provider will retain, delete, or process information in an identical manner. The applicable processing practices may vary depending on the service and technical configuration.

7. AI Models and Third-Party Technology

Universell's AI Services may rely on third-party AI models and infrastructure, including models and services provided by OpenAI and Anthropic.

AI models are developed and operated by independent third-party companies and may be updated, modified, replaced, restricted, or discontinued without notice to Universell.

Accordingly, Universell cannot guarantee that a particular AI model, provider, or version will remain available or that AI-generated results will remain consistent over time.

Universell may route requests between different AI models or providers based on factors such as functionality, performance, availability, security, cost, capacity, or the requirements of a particular feature.

8. AI-Generated Content and Business Documents

Universell may use AI technology to assist users in creating, drafting, revising, summarizing, or organizing business documents and other content.

Examples may include:

  • Employment or contractor work descriptions;
  • Terms and conditions;
  • Cancellation policies;
  • Business agreements;
  • Customer communications;
  • Marketing content;
  • Business descriptions;
  • Internal business documents; and
  • Other materials supported by Universell's AI Services.

AI-generated documents and content are provided as drafting and productivity assistance only.

Universell does not provide legal advice through its AI Services, and the availability of an AI-generated agreement, policy, clause, or document does not mean that the document is legally sufficient for a particular jurisdiction, business, transaction, or circumstance.

You are responsible for reviewing all AI-generated content before using, signing, publishing, distributing, or relying upon it.

Where appropriate, you should have AI-generated legal or contractual documents reviewed by a qualified attorney or other appropriate professional.

9. User Authorization and Responsibility

By submitting information to an AI-enabled Universell feature, you authorize Universell to process that information as reasonably necessary to provide the requested AI functionality.

You represent that you have the legal right and necessary permissions to submit the information and instruct Universell to process it.

You remain responsible for determining whether information is appropriate to submit to an AI Service and for complying with applicable privacy, confidentiality, contractual, regulatory, and legal obligations.

10. No Guarantee of AI Output

AI-generated output may be incorrect, incomplete, misleading, outdated, or inappropriate.

Universell does not guarantee that AI output:

  • Is factually accurate;
  • Is complete;
  • Is legally sufficient;
  • Is suitable for a particular purpose;
  • Complies with applicable law;
  • Is free of bias or errors;
  • Is unique;
  • Will produce a particular business result; or
  • Will be consistent with previous AI-generated results.

You should independently verify material information before relying upon it.

11. Human Review Requirement

Universell AI Services are intended to assist users and do not replace human decision-making.

You are responsible for reviewing and approving AI-generated output before:

  • Sending it to another person;
  • Providing it to a customer;
  • Incorporating it into a contract;
  • Signing an agreement;
  • Publishing it;
  • Making a business decision based upon it; or
  • Taking any action that could have legal, financial, contractual, regulatory, or other material consequences.

12. Changes to AI Providers

Universell may change the AI models or third-party providers supporting its AI Services from time to time.

Universell may also introduce additional AI providers or discontinue use of a particular provider.

Where a material change affects the manner in which personal information is processed, Universell may update its Privacy Policy or provide other notice as required by applicable law.

13. Third-Party Provider Terms

The AI Services may depend upon services operated by third parties, including OpenAI and Anthropic.

Your use of Universell's AI Services does not create a separate contractual relationship between you and any third-party AI provider solely because Universell uses that provider to deliver the AI functionality.

Third-party AI providers may have their own terms, policies, and documentation governing their technology.

To the extent required by applicable law or contract, Universell will provide additional information regarding relevant third-party processing practices through its Privacy Policy or other applicable disclosures.

14. Data Retention and AI Training
