This (“Agreement” or “Order Form”), including any attached addendum or exhibits, is governed by the General Terms and Conditions, applicable Services Schedules, and other applicable online terms, such as Universell online terms, available at https://www.universell.us/terms-of-service/ . This Proposal, once signed, along with the Online Terms shall collectively mean the “Agreement” in this document and in the Online Terms and will constitute an agreement entered into between Universell and the Company listed above. The Agreement will govern Company’s access to and use of the Services. In the event of any inconsistency between the terms of this Proposal and the Online Terms, the Proposal shall control. Capitalized terms used but not otherwise defined in this Proposal have the meanings assigned to them in the Online Terms.

This Proposal is entered into by Universell and Company on the date which Universell executes the below (the “Effective Date”). Unless both parties sign this Proposal, the pricing and terms offered in this Proposal expire on the Offer Expiration date stated above.

The pricing terms in this Proposal are specific to Company and are the Confidential Information of Universell. To the extent shared with any permitted third parties pursuant to the confidentiality terms between Company and Universell , such third party shall be bound by terms that prohibit their use of the information for any purpose beyond providing services to Company, including restricting their use of the information in any aggregated or anonymized format

Company will be provided access to resell services offered by Univesell.us. As a Universell.us reseller, Company will adhere to the reseller Term of Use as noted.

Schedule A
1. Product Name: Universell Platform “Company Revenue Share” means an amount determined by Universell as per the respective tier to which the Company belongs to. A Company may be identified in either of the three tiers, i) Tier 1 - with 1-35 clients on-boarded to the Universell Platform monthly, ii) Tier 2 – with 35?60 clients on-boarded to the Universell Platform monthly, or iii) Tier 3 – more than 60 clients on-boarded to the Universell Platform monthly. A compensation equal to i) ten percent (10%) of Net Revenue will be paid to Tier 1 Resellers; ii) Fifteen percent15%) of Net Revenue will be paid to Tier 2 Resellers; and iii) twenty percent (20%) of Net Revenue will be paid to Tier 3 Resellers for a Qualified Transaction 2.

2. Product Name: Piggy Bank POS Company will be assigned a reseller ID as an identifier for newly signed Piggy Bank POS products Company must associate the newly signed account with the reseller ID assigned in order to be compensated for the commission offered on the account. Commission will be paid based on the tiers noted below. i) Tier 1 - with 1 - 35 clients on-boarded to the Piggy Bank POS Platform monthly, ii) Tier 2 – with 35?60 clients on-boarded to the Piggy Bank POS Platform monthly, or iii) Tier 3 – more than 60 clients on?boarded to the Piggy Bank POS Platform monthly. A compensation equal to i) ten percent (10%) of Net Revenue will be paid to Tier 1Resellers; ii) Fifteen percent (15%) of Net Revenue will be paid to Tier 2 Resellers; and iii) twenty percent (20%) of Net Revenue will be paid to Tier 3 Resellers for a Qualified Transaction.

Banking information is used to deposit or credit revenue share directly into your account. The banking information provided will be used in accordance with the terms and conditions of this Agreement to authorize Universell to initiate ACH debit and credits on the bank account provided. Monthly cycles, monthly in arrears.
